Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Makhi (Pty) Ltd ("Makhi", "we", "us", or "our") governing your access to and use of the Makhi mobile application and website (collectively, the "Platform").

By registering an account or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

To use Makhi, you must:

• Be 18 years of age or older
• Be a verified resident of a registered Makhi estate or complex
• Have the legal capacity to enter into binding agreements
• Not have been previously suspended or banned from the Platform

Makhi is a closed-community platform. Access is restricted to residents of estates that have registered with Makhi. Residency verification is required before your account is activated.

3. Accounts and registration

When registering, you agree to:

• Provide accurate, current, and complete information
• Upload valid proof of residency (ID document, lease agreement, or other documents required by your estate manager)
• Keep your account information up to date
• Maintain the security of your password and not share your account with others
• Notify us immediately of any unauthorised use of your account

Your account is personal and non-transferable. You are responsible for all activity that occurs under your account.

4. The Makhi platform

Makhi provides a private online marketplace where verified residents of registered estates can list items for sale, offer services, and communicate with other residents.

Makhi is a platform provider. We do not buy or sell goods or services ourselves, and we are not a party to any transaction between residents. We are not responsible for the quality, safety, legality, or availability of items listed on the Platform.

5. Listings and content

When you create a listing or post any content on the Platform, you agree that:

• All information in your listing is accurate and not misleading
• You have the right to sell the item or offer the service described
• Photos you upload are your own or you have permission to use them
• Your content does not infringe the intellectual property rights of any third party
• You understand that listings are subject to review and approval by your estate manager before becoming visible to other residents

You retain ownership of content you post. By posting content, you grant Makhi a non-exclusive, royalty-free licence to display that content within the Platform for the purpose of providing the service.

6. Transactions between residents

Makhi facilitates connections between buyers and sellers but is not involved in the transaction itself. You acknowledge that:

• All transactions are conducted directly between residents
• Makhi does not process payments, hold funds, or provide payment guarantees
• You are solely responsible for verifying the condition of goods before purchasing
• Disputes between residents must be resolved directly between the parties
• Makhi is not liable for any loss arising from transactions conducted through the Platform

7. Prohibited conduct

You may not use the Platform to list, sell, offer, or promote:

• Illegal goods or services of any kind
• Weapons, firearms, or ammunition
• Controlled substances or drugs
• Counterfeit or stolen goods
• Adult or sexually explicit content
• Items that violate the intellectual property rights of others
• Services that involve unlicensed professional activity (e.g. unlicensed electrical or medical services)

You also may not:

• Harass, threaten, or abuse other residents
• Use the messaging system for spam or unsolicited advertising
• Create multiple accounts or impersonate another person
• Attempt to circumvent the estate manager moderation process
• Use the Platform for any purpose other than legitimate peer-to-peer community commerce

8. Content moderation

All listings are subject to review by your estate manager before they are visible to other residents. Estate managers have the authority to approve, reject, or remove listings that do not comply with these Terms or their estate's community rules.

Makhi also reserves the right to remove any content that violates these Terms, at our sole discretion and without prior notice.

Residents may report listings or users they believe violate these Terms. Reports are reviewed by estate managers.

9. Account termination

Your account may be suspended or terminated if:

• You breach these Terms
• Your residency at the estate ends
• Your estate manager suspends your account
• You request account deletion

You may delete your account at any time from the Profile section of the app. Upon deletion, your listings will be removed and your personal information will be deactivated in accordance with our Privacy Policy.

10. Limitation of liability

To the maximum extent permitted by South African law, Makhi shall not be liable for:

• Any loss or damage arising from transactions between residents
• The accuracy or quality of listings posted by residents
• Any indirect, incidental, or consequential damages arising from your use of the Platform
• Loss of data, interruption of service, or technical failures beyond our reasonable control

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.

11. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you through the app and update the "Last updated" date above. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

12. Governing law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms or your use of the Platform shall be subject to the jurisdiction of the South African courts.
